Digital Licensing Agreement for AI Trading Robots

Introduction

This Digital Licensing Agreement ("Agreement") is entered into by and between the purchaser ("Licensee") and SpareCash SRL ("Licensor"), upon the purchase of a license for the use of an AI Trading Robot ("Robot") through the website https://aitradingrobot.shop. By completing the purchase, the Licensee agrees to be bound by the terms of this Agreement.

License Grant

General Grant: The Licensor grants the Licensee a non-exclusive, tier-based, [non-transferable for STANDARD and PLUS; transferable for ELITE] license to use the Robot as per the terms set forth herein.

License Tiers:

STANDARD Package: $50,000 license fee, non-transferable.

PLUS Package: $75,000 license fee, non-transferable.

ELITE Package: $100,000 license fee, transferable.

Payment and Term

The License fee is payable in equal monthly installments over a period of 50 months from the date of purchase.

Failure to make timely payments may result in suspension or termination of the license.

Transferability

ELITE Licensees have the privilege to transfer their license once during the term, subject to the Licensor's approval.

Licenses under the STANDARD and PLUS tiers are non-transferable.

Use and Restrictions

The Licensee shall use the Robot in compliance with the provided usage guidelines and applicable legal requirements. Modifying, reverse engineering, or creating derivative works of the Robot without express consent from the Licensor is prohibited.

Intellectual Property

All intellectual property rights in the Robot and any associated software or documentation remain the sole property of the Licensor. This Agreement conveys a license to use the Robot and does not transfer any intellectual property rights.

Termination

The Agreement remains valid as long as the Licensee adheres to the payment schedule and complies with the terms herein. The Licensor reserves the right to terminate the Agreement upon breach by the Licensee.

Limitations of Liability

The Licensor's liability is capped at the amount paid by the Licensee. Neither party shall be liable for indirect damages arising out of this Agreement.

Dispute Resolution

Disputes under this Agreement shall be resolved through arbitration in Salaj Romania.

Governing Law

This Agreement is governed by the laws of Romania, without regard to conflict of laws principles.

Digital Acceptance

By purchasing a license through https://aitradingrobot.shop, the Licensee digitally accepts and agrees to be bound by the terms of this Agreement.

Modifications

This Agreement may be updated by the Licensor at any time, without notice. Continued use of the Robot after such updates constitutes acceptance of the new terms.
